TERMS OF SERVICE Last Updated: March 24, 2026 These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Licensee,” “User,” or “You”) and Hitch Technology Group, LLC (“Company,” “HTG,” “We,” or “Us”), regarding your use of the BatchSocial web application and associated software services (collectively, the “Software”). 1. LICENSE GRANT & ACCESS 1.1 Lifetime License: Subject to the payment of the one-time license fee, HTG grants you a non-exclusive, non-transferable, perpetual license to access and use the Software. 1.2 Permitted Use: You may use the Software for internal business purposes or to provide content services to third-party clients (Agency Use). 1.3 Restrictions: You shall not: (a) reverse engineer, decompile, or disassemble the Software; (b) sublicense, lease, or rent access to the Software to third parties; or (c) use the Software for any unlawful purpose. 2. "BRING YOUR OWN KEY" (BYOK) MODEL 2.1 Third-Party APIs: The Software requires a valid API key from Google Gemini (or other supported providers) to function. 2.2 User Responsibility: You are solely responsible for obtaining your own API keys, maintaining an active account with the API provider, and paying all costs associated with your API usage. 2.3 No Affiliation: HTG is a standalone software provider and is not affiliated with, endorsed by, or partnered with Google, OpenAI, or any other third-party API provider. 3. SERVICE AVAILABILITY & "AS-IS" PROVISION 3.1 "As-Is" Warranty: The Software is provided "AS-IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. 3.2 Third-Party Dependency: You acknowledge that the Software’s functionality depends on the availability of third-party APIs and hosting providers (e.g., Vercel). HTG is not liable for service interruptions, deprecations, or changes in terms by these third parties that may render the Software partially or fully non-functional. 3.3 No Support Obligation: The one-time license fee does not include guaranteed technical support, 1-on-1 onboarding, or the obligation for HTG to provide future feature updates or maintenance. 4. DATA PRIVACY & SECURITY 4.1 Non-Persistence: The Software does not store or persist Licensee's scraped data or generated content. All data processing occurs in-memory during an active session and is purged upon session termination. 4.2 API Key Security: API keys entered into the Software remain in local browser state and are not stored on HTG’s servers. You are responsible for the security and confidentiality of your credentials. 4.3 Usage Analytics: HTG may collect anonymized usage telemetry (e.g., number of batches processed) solely for the purpose of improving Software performance. 5. PAYMENTS & REFUNDS 5.1 One-Time Fee: All license fees are paid upfront via Stripe. 5.2 All Sales Final: Due to the digital nature of the Software and the immediate delivery of the License Key, all sales are final. No refunds, credits, or exchanges will be issued under any circumstances. 6. LIMITATION OF LIABILITY To the maximum extent permitted by law, Hitch Technology Group, LLC shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business reputation, arising from the use of the Software or the inaccuracy of AI-generated content. 7. INTELLECTUAL PROPERTY All rights, title, and interest in the Software, including source code, UI/UX design, and branding, remain the exclusive property of Hitch Technology Group, LLC. 8. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware (or your specific state of LLC registration), without regard to its conflict of law principles.
